HISTORY OF FIRST MIDWEST CORPORATION

First Midwest Corporation (FMC) was a Minneapolis-based holding company that provided venture capital to small businesses through its principal subsidiary, First Midwest Capital Corporation (FMCC). First Midwest had its beginnings in the 1959 incorporation of First Midwest Small Business Investment Company. In 1961 the name of the firm was changed to First Midwest Capital Corporation. A holding company, First Midwest Corporation, was established in 1970, with First Midwest Capital Corporation continuing as its small business investment company (SBIC) subsidiary. In 1985 the directors of First Midwest Corporation voted to liquidate, citing unfavorable 1984 tax law changes, anticipated cuts in Small Business Administration (SBA) loan programs, and expenses involved in reporting to the SBA and the Securities and Exchange Commission (SEC).

Alan K. Ruvelson, donor of the collection, served as president of the First Midwest companies from 1959 until 1985.

SCOPE AND CONTENTS OF THE COLLECTION

The First Midwest Corporation records document the development, operation, and investment activities of an early venture capital firm. They also provide financial and background information about more than 50 small businesses in Minnesota, California, Iowa, Wisconsin, and other (primarily Midwestern) states, and details of First Midwest investments in them. There is also information about some subsidiary companies and investment properties, including a Minneapolis parking ramp and a real estate development project near Detroit, Michigan.

There are audit reports, financial statements, reports to the SBA and the SEC, investment proposals, portfolio valuation reports, debenture and stock purchase agreements, closing and mortgage documents, correspondence and memoranda, news clippings, and similar material. Correspondents include First Midwest president Ruvelson, officials of the SBA and the SEC, representatives of portfolio companies and of other venture capital firms, investors, and attorneys.

Records of subsidiary companies contain material related to Midtown Park, Inc. (Minneapolis) and to the Universal Warren Company (Warren, Michigan). Midtown Park, Inc. was the holder of a contract for deed receivable from Midtown Parking Ramp. The Midtown Park files also include information about First Midwest Auto Park, Inc., a wholly-owned subsidiary of First Midwest Corporation and managing general partner of Midtown Parking Ramp. Universal Warren was engaged in real estate development and property management in the Detroit suburb of Warren, Michigan.

Portfolio Companies (loan files) contain information about manufacturers of computers, furnaces, janitorial supplies, eyeglasses, frozen bakery products, fishing rods, store display fixtures, and other products. There is also information about auto parts businesses, grocery stores, seed companies, an automated teller machine network, and a television signal relay system.
